Creator Agreement

This Creator Agreement supplements the Terms of Service and applies whenever you operate a channel or monetise content on Vidiyo. If this agreement conflicts with the Terms of Service on a creator-specific topic, this agreement controls.

1. Channel ownership and licence

You retain ownership of your channel and the content you publish. You grant Vidiyo the licence described in Section 4 of the Terms of Service so we can operate, distribute, and promote the Service. You also grant Vidiyo a non-exclusive licence to use your channel name, logo, and thumbnails to identify and promote your channel on and off the Service (for example in the channel guide, app store listings, and marketing). This agreement is non-exclusive: you may publish the same content on other platforms.

2. Ad revenue share

Vidiyo pays you a percentage of net ad revenue attributed to your channel through our server-side ad insertion. The percentage depends on your creator tier, shown in your creator dashboard:

  • Starter: 60%
  • Growth: 70%
  • Pro: 80%
  • Partner: 90%

"Net ad revenue" means gross ad revenue attributed to your channel, less third-party ad-server and exchange fees, payment processing fees, refunds and credits to advertisers, and any taxes collected or withheld at source. Attribution is based on our measurement systems, which are the system of record for calculating payments. We may change tier criteria or percentages prospectively with at least 30 days' notice; changes never apply retroactively to revenue already earned.

3. Other earnings

Where enabled, you can also earn from tips and gifts during live streams, paid episode unlocks, and season passes, which viewers pay for with Credits. Your dashboard shows the creator share of each Credits transaction before you enable the feature. Credits spent by viewers convert to payable earnings at the rate displayed at the time of the transaction.

4. Payouts

  • Payouts are made monthly via Stripe Connect. Each month's earnings close at the end of the calendar month (UTC) and are processed at the start of the following month.
  • The minimum payout balance is US$20. Balances below the minimum roll forward to the next month; nothing is forfeited by rolling forward.
  • Before we can pay you, you must complete Stripe Connect onboarding, including identity, banking, and tax information. If your Stripe account is not ready when a payout runs, the payout is marked failed and retried after you complete onboarding.
  • You must report payment disputes within 90 days of the payout date. We will investigate and correct verified errors.

5. Taxes

Earnings are paid gross of your income taxes. You are responsible for your own taxes on amounts we pay you. We (and Stripe, as our payment processor) will collect tax forms and file information returns (for example US Form 1099) where the law requires, and may withhold amounts required by law from your payouts. If your tax information is missing or invalid, we may hold payouts until it is corrected.

6. Your representations and warranties

For all content on your channel, you represent and warrant that:

  • you own or have licensed all rights needed for its distribution and monetisation on the Service, including music, synchronisation, performance, and publicity rights;
  • it does not infringe any third-party right and complies with applicable law;
  • any sponsorships, paid placements, or endorsements in it are disclosed as required by the FTC's endorsement guides and equivalent local rules, and you will tell us about embedded sponsorships that could conflict with ads we insert;
  • it complies with our content standards under the Terms of Service; and
  • you will not generate or solicit artificial views, impressions, or engagement of any kind.

7. Invalid traffic, holds, and clawbacks

Earnings are calculated on valid traffic only. We may exclude invalid traffic (including bot views, incentivised views, self-viewing at scale, and manipulated engagement) from revenue calculations before or after payment. If we determine that paid amounts were based on invalid traffic, fraud, or a breach of this agreement, we may offset those amounts against future payouts or require repayment. We may hold or suspend payouts while we investigate suspected fraud, invalid traffic, chargebacks, or legal claims relating to your channel, and will release any amounts confirmed valid when the investigation closes. Advertiser refunds and chargebacks attributable to your content may be deducted from your earnings.

8. Demonetisation and advertiser suitability

Advertisers choose where their ads run. We may demonetise specific videos, ad breaks, or your channel if we determine the content is unsuitable for advertisers, violates content standards, or presents fraud or chargeback risk. Demonetisation affects future revenue only; it does not claw back validly earned amounts. You can appeal a demonetisation decision through appeals@vidiyo.com.

9. Analytics and data

We provide analytics about your channel's performance. These reports are provided for your own business use. Aggregate earnings figures about your own channel are yours to share; Vidiyo-supplied rate cards, advertiser identities, and platform-wide financial data are confidential and may not be published without our prior written consent.

10. Termination

Either party may terminate this Creator Agreement at any time. On termination we stop monetising the channel and pay out earned, undisputed amounts above the payout minimum on the regular schedule; undisputed amounts below the minimum are paid in a final payout within 90 days. If we terminate for fraud or material breach, we may withhold amounts attributable to the fraudulent or breaching activity. Sections 5, 6, 7, 9, 11, and 12 survive termination.

11. Indemnification

In addition to your indemnification obligations under the Terms of Service, you will indemnify Vidiyo against claims by advertisers, rights holders, or other third parties arising from content on your channel or from your breach of this agreement.

12. Relationship

You are an independent contractor. Nothing in this agreement creates an employment, agency, joint venture, or partnership relationship between you and Vidiyo, and you have no authority to bind Vidiyo.

13. Changes

We may update this agreement. For material changes we will give at least 30 days' notice by email or in your creator dashboard before they take effect. Continued monetisation after the effective date is acceptance. Changes never reduce amounts already earned.
